One of the amendments approved by shareholders protects against a purchaser using two-tier pricing and similar tactics in a takeover attempt. The other staggers three-year terms of the board of directors into three classes and provides new rules for removal of directors, filling board vacancies, establishing the number of directors and calling special shareholders’ meetings.
